Confirmation of Publishing Agreement
	PUBLISHER AGREES TO Universal-Publishers (the "Publisher") agrees to assign a publisher's ISBN to the work with the title indicated below (the "Work") and to offer the Work for sale and/or distribute the Work in exchange for renumeration. The Publisher agrees to pay the author a royalty of twenty percent (20%) on sales of the Work after the sale of the first three copies sold in each calendar quarter when ordered through a bookseller at our standard discount; forty percent (40%) on all sales after the sale of the first three copies in each calendar quarter when purchased from Universal-Publishers at the retail price; and twenty percent (20%) on all other distributions of the Work. Royalties are payable 45 days following the end of each calendar quarter. The Author shall be given an opportunity to review the final version of the Work prior to its sale. One sample copy will be provided to the Author upon publication. Additional copies may be purchased by the Author in any quantity at 40% discount off the retail price plus shipping costs. Orders over 100 copies will be discounted 50%. AUTHOR AGREES TO The Author agrees to submit the Work to Universal-Publishers completely copy edited and ready to publish in the computer file format and layout specified by the Publisher. The Author hereby transfers all copyright ownership in and relating to the Work, in all forms and media, to the Publisher. The Author represents and warrants that it has all rights in the Work necessary to do so and agrees to execute any written instrument necessary or desirable to evidence such transfer. Author warrants that: [a] nothing in the work is plagiarized or infringes any existing copyright or right of any third-party; [b] the Work contains no matter that is defamatory, libelous, slanderous, an invasion of privacy, or otherwise unlawful; and [c] Author has obtained all relevant consents, license grants, and ownership rights necessary to make the ownership transfer above, including but not limited to those for third-party content. The Author agrees to indemnify and hold the Publisher harmless against any claim, demand, suit, action, proceeding, prosecution or judgment, based upon any breach by Author of any representation or warranty contained herein; and/or the Publisher's exercise of the rights transferred by this Agreement, including all reasonable expenses, losses, penalties, legal fees, and liabilities suffered or incurred. Author acknowledges that it is Author's responsibility to notify Universal-Publishers of changes to its email and/or mailing address so Author may be contacted about royalties and other information regarding this Agreement. Starting from two (2) years after the Publication Date (determined by the public release of the book), Author may terminate this Agreement by providing Publisher with not less than sixty (60) days advanced written notice thereof. Upon such a termination, the Publisher shall transfer all copyright ownership in and relating to the Work, in all forms and media, back to the Author. The Publisher agrees to execute any written instrument necessary to effectuate such transfer. Author and Publisher agree that any licenses granted by Publisher to third parties during Publisher's ownership of the Work shall remain in full force and effect and shall not be revoked, amended, or otherwise affected by any subsequent transfer or reversion of Publisher's rights in the Work to Author. Author agrees to honor all such licenses as if Author had originally granted them, and further agrees that any such licenses shall survive any transfer of ownership, ensuring the licensees' continued rights to use, distribute, or otherwise exploit the Work as permitted by their license agreements with Publisher. The parties agree that any provisions of this Agreement that by their nature are intended to survive termination, expiration, or completion of this Agreement, including but not limited to provisions related to intellectual property rights and licenses granted by Publisher, shall remain in full force and effect following the termination or expiration of this Agreement.
